FoodXplo Merchant Terms of Service
Effective Date: 27 April 2025
These Terms of Service ("Terms") govern the use of the FoodXplo platform (“Platform”) by merchants (“you” or “Merchant”) who offer food and beverage products to consumers through the Platform. FoodXplo is operated by Gagesis Sdn Bhd (“we”, “our”, or “FoodXplo”).
By registering as a Merchant on FoodXplo, you agree to be bound by these Terms.
1. Eligibility & Account Registration
1.1 You must be a legitimate business entity or individual operating a food stall, hawker booth, or food court.
1.2 All information provided during registration must be accurate and kept up to date.
1.3 FoodXplo reserves the right to approve, reject, or suspend any Merchant account at its discretion.
2. Merchant Responsibilities
2.1 Menu Management: You must ensure that all listed items, prices, and availability are accurate and reflect your real offerings.
2.2 Order Fulfillment: You are solely responsible for preparing and delivering orders placed through the Platform in a timely and hygienic manner.
2.3 Customer Service: You agree to handle customer feedback, complaints, or disputes arising from your food or service.
2.4 Compliance: You must comply with all applicable food safety, licensing, and local regulatory requirements.
2.5 Food Court Affiliation (if applicable): If you are a hawker, you must correctly associate your stall with a verified Food Court using the attach feature and obtain approval.
3. Fees and Payments
3.1 Subscription Fee: A fixed monthly fee applies as per your selected plan (e.g., RM 39/month). Additional fees may apply for services such as table plans or Food Court attach features.
3.2 Transaction Fees: FoodXplo collects and processes customer payments on your behalf and may deduct applicable platform fees (if any).
3.3 Settlement: Payouts to your account will be made on a schedule determined by FoodXplo (e.g., weekly or biweekly), subject to applicable bank processing times.
4. Use of Platform
4.1 You are granted a non-exclusive, non-transferable license to use FoodXplo for your food business only.
4.2 You may not misuse the Platform, such as by attempting to interfere with its operation, reverse-engineer its systems, or engage in fraud.
5. Data and Privacy
5.1 You agree to use customer data (e.g., name, order info) only for order fulfillment and not for unsolicited marketing or sharing.
5.2 FoodXplo may collect and process Merchant data for operational, analytical, and legal compliance purposes.
6. Termination
6.1 You may terminate your participation at any time by providing written notice.
6.2 FoodXplo may suspend or terminate your account if you violate these Terms, harm customers, or damage the platform’s reputation.
7. Limitation of Liability
7.1 FoodXplo acts only as a facilitator of online ordering and is not responsible for food quality, delivery delays, or Merchant performance.
7.2 To the maximum extent permitted by law, FoodXplo is not liable for indirect or consequential damages.
8. Modifications
8.1 We may revise these Terms from time to time. Continued use of the Platform after changes are posted means you accept the revised Terms.
9. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Malaysia.
